Synopsis

Corporate law has existed for over 150 years. However,in just the last decade, the pace of reform by both parliament and the courts has been remarkable. This has posed a challenge for business and accounting students, as well as law students, that must study company law. Although Australia has a variety of quality company law textbooks, which develop in depth the many principles of corporate law, it is often the overview and key principles that need to really be explained clearly and concisely. The aim of this book is to cut to the key principles and areas of difficulty that have been experienced in over 15 years of teaching company law to business, law and postgraduate students in Australia, the USA and the UK. Each topic is supported with the classic old English cases that established the principle and the modern Australian decisions that have helped develop those principles. The statutory provisions are completely up-to-date and take into account some of the main constitutional difficulties that the courts and the state and federal parliaments have been trying to resolve.

There is no doubt that corporate law will continue to be reformed and this book takes into account some of the future proposals under the Corporate Law Economic Reform Program (CLERP) and cross references to a variety of helpful websites.
